We are seeking a mid-level lawyer to join a corporate and commercial practice focused on transactional work and business development matters. The role can be based in Toronto or Victoria and involves supporting clients on a wide range of corporate and financing files from early-stage structuring through to closing.
The successful candidate will play an important role on transaction teams, with responsibility for drafting and negotiating agreements, managing due diligence, coordinating with internal team members, and helping guide matters efficiently toward completion. You will also work directly with clients, providing practical advice on governance, deal structure, and commercial terms that support long-term business goals.
This position is well suited to a lawyer who is comfortable taking ownership of files, working with limited supervision, and balancing multiple deadlines at once. Experience with secured lending, purchase and sale transactions, and corporate governance documents is important, along with strong judgment and a collaborative approach.
Qualifications include approximately 5 to 7 years of corporate/commercial experience, membership in good standing with the applicable provincial law society, and strong drafting, negotiation, research, and communication skills. Experience working with Indigenous clients or on Indigenous economic development and governance matters would be an asset. Some travel to client communities across Canada may be required.
